1. Acceptance of Terms

By accessing or using the Refactron website, platform, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Refactron regarding your use of the Service.

2. Description of Service

Refactron provides an AI-powered code refactoring platform that analyzes code and suggests improvements for performance, readability, and security.

Service Availability

We strive to keep the Service available 24/7 but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Registration & Accounts

Account Creation

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

Account Security

You are responsible for maintaining the confidentiality of your password and account. You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct

You agree not to use the Service to:

  • Violate any applicable laws or regulations.
  • Infringe upon the rights of others, including intellectual property rights.
  • Upload malicious code, viruses, or harmful software.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or related systems.
  • Reverse engineer or attempt to extract the source code of the Service.

5. Intellectual Property

Our Rights

The Service, including its "look and feel" (e.g., text, graphics, images, logos), proprietary content, information and other materials, are protected under copyright, trademark and other intellectual property laws.

Your Rights

You retain all rights to the source code you upload to the Service. We claim no intellectual property rights over the material you provide to the Service.

6. Payment & Subscription

  • Fees: Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle").
  • Changes: We reserve the right to change our pricing at any time. Any price changes will become effective at the end of the then-current Billing Cycle.
  • Refunds: Except when required by law, paid Subscription fees are non-refundable.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or delete your account from the settings page.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. REFACTRON EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL REFACTRON, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

10. Indemnification

You agree to defend, indemnify and hold harmless Refactron and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
